Terms of Service
Effective October 19, 2026
The short version. CronSlot is a booking service run by GVX Digital, LLC. Businesses use it to take appointments and payments on their own websites. The business is responsible for its services, prices, deposits, cancellation rules and its customers. GVX Digital provides the software.
If you booked an appointment through a business that uses CronSlot, your appointment is with that business. Read section 4.
This summary is for convenience. The full terms below control.
1. Agreement and who it covers
These Terms of Service ("Terms") are a binding agreement between GVX Digital, LLC ("GVX Digital," "we," "us" or "our") and you. They govern your use of CronSlot, which includes the website at cronslot.com, the application at app.cronslot.com, booking pages and embedded booking widgets powered by CronSlot, and related setup and support services (together, the "Service").
You accept these Terms when you sign an order or proposal that references them, create or use an account, or book, change or cancel an appointment through the Service. If you accept on behalf of a business or other organization, you confirm that you have authority to bind it, and "you" means that organization. If you do not agree, do not use the Service.
If you have a signed order, proposal, statement of work or other written agreement with GVX Digital for the Service (an "Order"), the Order controls where it conflicts with these Terms. Otherwise these Terms control. Terms in any purchase order or similar document you send us do not apply, even if we accept or sign it.
2. Definitions
- "Business" means a business, professional or organization that uses the Service to offer appointments, reservations or other bookings, including its owners, staff and other users it authorizes.
- "End User" means a person who views a Business's booking page, or books, reschedules, cancels or pays for a booking through it.
- "Customer Data" means data that a Business or its End Users submit to the Service, including booking details, End User contact information, calendar information and messages.
- "Payment Processor" means Stripe, Inc. and its affiliates, or any other payment provider the Service supports.
3. The Service
CronSlot lets a Business publish its availability, accept bookings on its own website or booking address, sync bookings with connected calendars, send booking notifications, and collect deposits, card holds and fees through the Business's own Payment Processor account.
Setup, styling, configuration and support services are provided as described in your Order. Unless an Order says otherwise, these services are delivered on a reasonable-efforts basis and are complete when the configured booking flow is made available to you.
Features described as "coming," "planned," "on the roadmap" or similar are not part of the Service until we release them. We make no commitment to release any future feature or to release it on any date, and you should not buy the Service on the basis of one. Features labeled beta, preview or early access are provided as-is and may change or be withdrawn at any time.
4. If you book through CronSlot
This section applies to End Users.
- Your appointment is with the Business. The Business that offers the booking is solely responsible for the services it provides and for its prices, deposits, cancellation and no-show policies, refunds, staff, premises and conduct. GVX Digital is not a party to your agreement with the Business, does not provide the Business's services, and is not responsible for them.
- Deposits and fees. A Business may require a deposit, place a hold on your card, or charge a fee if you cancel late or do not attend, according to the policy it shows you when you book. Payments go to the Business through its Payment Processor. GVX Digital does not receive or hold those funds. Refund requests and payment disputes are between you and the Business.
- Accurate information. You agree to give accurate contact details and to book only appointments you intend to keep or properly cancel.
- Messages. By booking, you agree to receive messages about your booking, such as confirmations, reminders and changes, at the contact details you provide.
- Your data. Our Privacy Policy explains how booking information is handled. The Business's own privacy policy also applies to how it uses your information.
Sections 9, 12 and 16 through 21 also apply to End Users.
5. Accounts and security
You must be at least 18 years old and able to form a binding contract to create an account. You agree to provide accurate account information and keep it current. You are responsible for all activity under your account and the accounts of users you authorize, for keeping credentials confidential, and for enabling security features we make available. Notify us promptly at support@cronslot.com if you suspect unauthorized access.
6. Fees and payment
Fees for the Service and any setup work are set out in your Order. Unless your Order says otherwise:
- recurring fees are billed in advance for each billing period and setup fees are billed when the Order is signed;
- invoices are due within 15 days of the invoice date;
- fees are non-refundable, except as required by law or stated in these Terms;
- fees do not include taxes, and you are responsible for all sales, use, value-added and similar taxes other than taxes on our net income;
- overdue amounts may accrue interest at the lesser of 1.5% per month or the highest rate allowed by law, and you will reimburse our reasonable costs of collection; and
- we may change fees on at least 30 days' notice, effective at the start of your next billing period.
If any amount is more than 15 days overdue, we may suspend the Service after giving you notice and a further 10 days to pay.
7. Deposits, no-show fees and Stripe
Payment features work through a Payment Processor account that belongs to the Business. To use them, the Business must create and maintain its own account with the Payment Processor and accept the Payment Processor's terms, including the Stripe Connected Account Agreement and the Stripe Services Agreement where applicable.
- We are not a payment processor. GVX Digital is not a bank, money transmitter or payment processor, and does not take possession of funds paid by End Users. Payments, payouts, holds, refunds, reserves and chargebacks are handled by the Payment Processor under its terms.
- The Business sets and owns its policies. The Business decides whether to take deposits, place card holds or charge cancellation and no-show fees, and sets the amounts and windows. The Business is solely responsible for making sure its policies are lawful, clearly disclosed to End Users before they book, applied consistently, and honored.
- Disputes and chargebacks. The Business is responsible for refunds, End User disputes, chargebacks, Payment Processor fees, reserves and any fines or penalties related to its transactions.
- No liability for processor actions. We are not responsible for any act or omission of a Payment Processor, including declined payments, expired holds, frozen accounts or delayed payouts.
8. Business responsibilities
If you are a Business, you agree that you will:
- comply with all laws that apply to your business and your use of the Service, including consumer protection, privacy, data protection, accessibility, anti-spam and telemarketing laws;
- publish a privacy policy that accurately describes how you collect and use End User information, and give End Users every notice and obtain every consent the law requires, including consent to messages you send through the Service;
- keep your services, availability, prices, locations and policies accurate in the Service;
- not use the Service to collect payment card numbers, government identification numbers, health information protected by HIPAA, or other sensitive categories of data in free-text fields or custom questions, unless we have agreed to that use in writing;
- not direct the Service to children under 13, or knowingly collect personal information from them through it; and
- be responsible for the acts and omissions of your staff and authorized users as if they were your own.
You are responsible for reviewing your booking page, notifications and calendar settings before you go live and after any change you make. You remain responsible for your appointments. Notifications and calendar sync help you manage them but are not guaranteed to be delivered, received or processed on time.
9. Acceptable use
You may not, and may not allow anyone else to:
- use the Service for anything unlawful, fraudulent, deceptive or harmful, or to offer illegal goods or services;
- send spam, unsolicited bulk messages or messages without the consent the law requires;
- upload malware or content that infringes another person's rights or is defamatory, obscene, harassing or hateful;
- gain or attempt to gain unauthorized access to the Service, other accounts or related systems, or probe, scan or test their vulnerability without our written permission;
- interfere with or overload the Service, or use bots, scrapers or automated means to access it, other than through features or interfaces we provide for that purpose;
- copy, modify, reverse engineer, decompile or create derivative works of the Service, except where the law expressly permits it despite this restriction;
- resell, sublicense, rent or provide the Service to third parties, except as an Order allows; or
- use the Service to build a competing product, or access it for competitive benchmarking.
10. Customer Data
Ownership. As between you and us, the Business owns its Customer Data. You grant GVX Digital a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Data as needed to provide, secure, support and improve the Service, to comply with law, and as described in our Privacy Policy.
Our role. When we process End User personal information on behalf of a Business, we act as the Business's service provider or processor. We process it only to provide the Service, on the Business's instructions as expressed through its configuration of the Service and these Terms, or as required by law. We do not sell it or use it for targeted advertising. The Business is the controller of that data and is responsible for the lawful basis for collecting it and for responding to End User requests. We will reasonably assist with those requests.
Your responsibility. You confirm that you have every right, notice and consent needed for us to process Customer Data under these Terms. You are responsible for the accuracy and legality of Customer Data and for keeping your own copies of information you need.
Aggregated data. We may create and use aggregated or de-identified data that does not identify you, your End Users or any individual to operate, analyze and improve the Service.
Security. We use reasonable administrative, technical and physical safeguards designed to protect Customer Data. No system is completely secure. If we confirm unauthorized access to your Customer Data, we will notify you without undue delay and provide information you reasonably need to meet your own notification obligations.
11. Third-party services
The Service can connect to services we do not control, such as Google Calendar, Microsoft Outlook and Microsoft 365, video conferencing providers, and Payment Processors. When you connect one, you authorize us to exchange data with it as needed to provide the features you turn on. Your use of a third-party service is governed by that provider's terms and privacy policy. We are not responsible for third-party services, their availability, or changes they make that affect the Service, and we may stop supporting any integration.
12. Intellectual property
GVX Digital and its licensors own the Service, including its software, designs, documentation and the CronSlot name and marks. Subject to these Terms and payment of applicable fees, we grant a Business a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service for its internal business purposes during the term of its subscription. All rights not expressly granted are reserved.
A Business grants us a limited license to use its names, logos, colors, fonts and other brand materials to configure and display its booking pages and notifications. You confirm that you have the right to grant that license.
Unless you tell us otherwise in writing, you agree that we may identify you as a CronSlot customer, by name and logo, in our marketing.
If you send us suggestions or feedback, we may use them without restriction or obligation to you.
Parts of the Service are built on open-source software that is licensed under its own terms. Nothing in these Terms limits your rights under those licenses.
13. Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to employees, contractors and advisers who need to know it and are bound by similar obligations. These duties do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information when required by law, after giving reasonable notice where the law allows.
14. Availability and changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation unless an Order includes a written service level. The Service may be unavailable during maintenance, updates, or events outside our reasonable control. We may modify, add or remove features. If we remove a material feature you are paying for, we will give you reasonable notice. If the removal materially reduces the Service, you may terminate the affected Order and receive a pro-rated refund of prepaid fees for the remaining period.
15. Term, suspension and termination
These Terms remain in effect while you use the Service. Each Order runs for the term it states, and renews for successive periods of the same length unless either party gives notice of non-renewal at least 30 days before the end of the current term.
Termination. Either party may terminate an Order if the other materially breaches these Terms and does not cure the breach within 30 days after written notice. Either party may also terminate immediately if the other becomes insolvent or enters bankruptcy, receivership or a similar proceeding. If no Order is in place, you may stop using the Service at any time and we may end your access on 30 days' notice.
Suspension. We may suspend all or part of your access immediately if we reasonably believe your use violates section 9, creates a security risk, could harm the Service, us or others, or is required by law. We will try to give you advance notice where practical, and will restore access once the issue is resolved.
Effect of termination. When an Order ends, your right to use the Service under it ends. You will pay all fees owed through the end of the term. For 30 days after termination, we will make your Customer Data available for export on request. After that, we may delete it, subject to section 10 and our Privacy Policy. Sections 2, 6 (for amounts owed), 7, 10, 12, 13 and 16 through 21, and any other terms that by their nature should survive, survive termination.
16. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GVX DIGITAL DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT NOTIFICATIONS, REMINDERS OR CALENDAR SYNC WILL BE DELIVERED OR PROCESSED, THAT DATA WILL NOT BE LOST, OR THAT THE SERVICE WILL PREVENT NO-SHOWS OR ACHIEVE ANY BUSINESS RESULT.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- GVX DIGITAL AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BOOKINGS, GOODWILL OR DATA, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY.
- GVX DIGITAL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (1) THE FEES YOU PAID GVX DIGITAL FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (2) ONE HUNDRED U.S. DOLLARS (US$100).
- THESE LIMITS APPLY TO ALL CLAIMS AND THEORIES OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
These limits do not apply to a party's liability that cannot be limited under applicable law, or to a Business's payment obligations or indemnification obligations. The fees reflect this allocation of risk, which is an essential part of the bargain between the parties.
18. Indemnification
A Business will defend, indemnify and hold harmless GVX Digital and its members, officers, employees and contractors from and against all claims, losses, damages, liabilities, penalties, fines, costs and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) the Business's services, appointments, prices, policies, deposits, fees, refunds or dealings with End Users; (b) Customer Data or brand materials the Business provides; (c) messages sent on the Business's behalf; (d) the Business's breach of these Terms or violation of law; or (e) any dispute between the Business and its Payment Processor or an End User.
We will give prompt notice of a claim, reasonable cooperation at the Business's expense, and control of the defense, except that the Business may not settle a claim in a way that imposes an obligation or admission on us without our written consent. We may participate with counsel of our choice at our own expense.
19. Governing law and disputes
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Commonwealth of Kentucky and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, each party agrees to try to resolve the dispute informally by sending written notice describing it and negotiating in good faith for at least 30 days. If the dispute is not resolved, it will be brought exclusively in the state courts located in Jefferson County, Kentucky, or the United States District Court for the Western District of Kentucky. Each party consents to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL, AND AGREES THAT CLAIMS MAY BE BROUGHT ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
Any claim arising out of or relating to these Terms or the Service must be brought within one year after it arises, unless the law requires a longer period.
20. General terms
- Changes to these Terms. We may update these Terms. We will post the new version here with a new effective date. For material changes, we will give Businesses at least 30 days' notice by email or in the Service. Changes apply from the effective date. If you continue using the Service after that, you accept them. Changes do not apply retroactively to disputes that arose before the effective date.
- Notices. We may send notices to the email address on your account or in your Order. You must send notices to support@cronslot.com. A notice is given when sent, unless the sender receives a delivery failure.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them without consent in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of the business or assets related to the Service. Any attempted assignment in violation of this section is void.
- Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, power or internet failures, failures of third-party hosting or service providers, labor disputes, acts of government, war, terrorism or pandemic. This does not excuse payment obligations.
- Independent contractors. The parties are independent contractors. These Terms create no partnership, joint venture, agency, franchise or employment relationship.
- Export and sanctions. You may not use the Service in violation of U.S. export control or sanctions laws, or if you are a sanctioned person or located in an embargoed country.
- Severability and waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms will remain in effect. A failure or delay in enforcing a provision is not a waiver of it.
- Entire agreement. These Terms, any Order and our Privacy Policy are the entire agreement between the parties about the Service and supersede all prior or contemporaneous agreements and communications about it. Headings are for convenience only, and "including" means "including without limitation."
